    Articles of Association

    Chapter1 - General Provisions

    Article 1 (Name)

    The name of this association shall be the "Daecheon Tourism Association, a Non-Profit Corporation (hereinafter referred to as the Association)".

    Article 2 (Purpose)

    The purpose of the Association is to contribute to the promotion of tourism prosperity, the advancement of regional welfare, and the fellowship among members by attracting tourists, promoting tourism, protecting the rights and interests of local residents and small and medium-sized merchants, and improving tourism order and service for the development of tourism in Boryeong City in line with the 21st-century West Coast era.

    Article 3 (Principal Office)

    The principal office of the Association shall be located at 1029-3 Sinheuk-dong, Boryeong-si, Chungcheongnam-do, Korea.

    Chapter2 - Membership

    Article 4 (Membership Qualifications and Classification)

    The Association's members shall be classified into Regular Members, Special Members, and Lifetime Members, and shall possess the following qualifications:

    1. Regular Members
    1) Business owners who have obtained permits/licenses and are operating within Boryeong City.
    2) Individuals residing within Boryeong City.
    2. Special Members
    1) Corporate or other organizations stationed in Boryeong City for the purpose of business or profit.
    2) Individuals or cooperative organizations that actively support the founding purpose of the Daecheon Tourism Association and have provided special contributions or services.
    3. Lifetime Members
    Past presidents of the Association who have served continuously since the founding of the "Daecheon Tourism Association, a Non-Profit Corporation".

    Article 5 (Membership Enrollment)

    Those who wish to join the Association as members shall be approved by the Board of Directors according to the following procedures:

    1. Regular Members
    When intending to join as a Regular Member, the applicant shall complete the "Membership Application Form" and submit separate supplementary documents to the secretariat. Upon resolution by the subsequent Board of Directors meeting, the applicant shall pay the initiation fee and annual fee within 7 days of the Board's resolution. (Separate supplementary documents shall be defined in the Enforcement Rules.)
    2. Special Members
    When intending to join as a Special Member, the applicant shall complete the "Membership Application Form" and submit separate supplementary documents to the secretariat. Upon resolution by the subsequent Board of Directors meeting, the applicant shall pay the initiation fee and annual fee within 7 days of the Board's resolution. (Separate supplementary documents shall be defined in the Enforcement Rules.)
    3. Lifetime Members
    Past presidents defined in Article 5, Clause 3 of the Articles of Incorporation shall be ex officio Lifetime Members.

    Article 6 (Members' Rights)

    Members of the Association shall have the following rights:

    1. Regular Members, Lifetime Members
    1) The right to elect and be elected as officers as defined by the Articles of Incorporation.
    2) The right to participate in all projects and activities of the Association.
    3) The right to attend and participate in the decision-making of the Association's meetings.
    2. Special Members
    1) The right to attend and participate in the decision-making of the Association's meetings. (This right belongs to one representative.)

    Article 7 (Members' Duties)

    Members of the Association shall have the following duties:

    1. Members shall maintain their own character and dignity in accordance with the Association's purpose and actively participate in the Association's various projects and activities.
    2. Members shall comply with the Articles of Incorporation and the rules.
    3. Members shall pay the annual fee as stipulated in the Articles of Incorporation. (However, Lifetime Members are exempted.)
    4. Members have the duty to comply with matters resolved and decided by the General Meeting and the Board of Directors.

    Article 8 (Withdrawal)

    A member may freely withdraw from the Association. Furthermore, a Regular Member under Article 5, Clause 1 who changes their address (moves to another area) or closes their business in Boryeong City and is no longer engaged in current work shall be deemed to have voluntarily withdrawn. However, they shall have no rights to the initiation fee, annual fee, or any other financial assets.

    Article 9 (Awards and Disciplinary Actions)

    1. Awards: Individuals or organizations that have made contributions to the development and operation of the Association may be awarded by resolution of the Board of Directors.
    2. Disciplinary Actions: Those who violate the Articles of Incorporation or other rules of the Association, or those who disrupt the basic order of the Association, may be subject to the following disciplinary actions by resolution of the Board of Directors:
    1) Warning: A warning shall be issued in writing to those falling under the following sub-clauses:
    a) Those who have damaged the reputation of the Association as a member.
    b) Those who have continuously failed to attend the regular general meeting two or more times.
    c) Those who have failed to pay the annual fee two or more times.
    2) Expulsion: Expulsion shall be issued in writing to those falling under the following sub-clauses:
    a) Those who have received two or more warnings.
    b) Those whose annual fees have been unpaid three or more times.

    Chapter3 - Meetings

    Article 10 (General Meeting)

    The General Meeting of the Association shall consist of Regular Members, Special Members, and Lifetime Members, and shall be divided into the Regular General Meeting and the Extraordinary General Meeting.

    Article 11 (Functions of the General Meeting)

    As the supreme decision-making body of the Association, the General Meeting shall deliberate on the following matters:

    1. Approval of the abolition and amendment of the Articles of Incorporation.
    2. Dissolution of the Association.
    3. Approval of the business plan and the budget and settlement of accounts.
    4. Election of officers.
    5. Resolution of matters to be delegated to the Board of Directors.
    6. Reporting of the next year's business plan and budget.
    7. Other matters.

    Article 12 (Convening the General Meeting)

    The Association may convene the Regular General Meeting once a year and the Extraordinary General Meeting as needed.

    1. Regular General Meeting: Shall be convened once a year in February.
    2. Extraordinary General Meeting:
    1) The President may convene an Extraordinary General Meeting when there is an urgent matter among those stipulated in Article 12.
    2) The President must convene an Extraordinary General Meeting within 10 days if a "Request for Convening" is submitted to the secretariat in writing by one-third or more of the incumbent members.
    3) The President must convene an Extraordinary General Meeting within 10 days if requested by two-thirds or more of the Board of Directors.
    3. Quorum for the General Meeting The General Meeting of the Association shall be constituted by the attendance of one-third or more of the incumbent members.
    4. Public Notice of the General Meeting The Association shall announce the General Meeting at least 14 days before the date of the meeting, specifying the agenda, date, and location. (The method of public notice shall be defined in the Enforcement Rules.)

    Article 13 (Resolutions of the General Meetingn)

    Resolutions of the General Meeting of the Association shall be decided by the majority of the votes.
    However, the method of electing officers shall be determined by separate enforcement rules and regulations.
    Also, for the certification of the General Meeting minutes, a maximum of 10 certification commissioners, including the President, shall be appointed from the attending members for notarization and other delegated tasks.

    Article 14 (Board of Directors)

    The Board of Directors shall be divided into the monthly Regular Board Meeting and the Extraordinary Board Meeting, and shall resolve the following matters:

    1. Deliberation and resolution of the budget and settlement of accounts.
    2. Resolution of matters delegated by the General Meeting.
    3. Deliberation and resolution on the loss of qualification of members and officers.
    4. Matters concerning awards and disciplinary actions under Article 10 of the Articles of Incorporation.
    5. Deliberation and resolution on the approval of new members.
    6. Enactment and revision of the Enforcement Rules.
    7. Approval of transfers between accounting items.
    8. Matters to be proposed to the General Meeting.
    9. Establishment and implementation of special projects and profit-generating businesses.
    10. Right to consent to the appointment and dismissal of secretariat staff.

    Article 15 (Composition of the Board of Directors)

    The Board of Directors of the Association shall be composed of the President, Vice Presidents, Auditors, and all Directors. The Auditors have the right to speak at the Board of Directors meeting but no voting right.

    Article 16 (Quorum and Resolution of the Board of Directors)

    The Board of Directors meeting shall be constituted by the attendance of a majority of the incumbent Directors and resolved by the majority of the votes of the attending Directors. (However, in the event of a tie vote, the President shall have the deciding vote.)

    Chapter4 - Officers and Organization

    Article 17 (Composition of Officers)

    The Association shall have the following officers:

    1. President: 1 person
    2. Vice Presidents: 2 people
    3. Auditors: 2 people
    4. Directors: A few people

    Article 18 (Term of Office for Officers)

    The term of office for the Association's officers shall be three years, and they may be re-elected only once. However, if a vacancy occurs during the term, and the remaining term is less than 5 months, the position shall remain vacant. If the remaining term is 5 months or more, a by-election shall be held by the Board of Directors, and the term of the replacement shall be the remainder of the predecessor's term.

    Article 19 (Qualifications of Officers)

    The President of the Association must have been a member for 5 years or more. Other officers must be Regular Members who have been members for 2 years or more and do not have any unpaid annual fees at the time of the officer election announcement.

    Article 20 (Election of Officers)

    Regulations concerning the election of the Association's officers and the election management regulations shall be determined by separate enforcement rules.

    Article 21 (Duties of Officers)

    The officers of the Association shall have the following duties:

    1. President: The President shall represent the Association and have the status of representative in all internal and external activities. The President shall also chair all meetings and have the deciding vote in case of a tie. However, during the election of officers, the Election Management Committee Chairman shall serve as the chair.
    2.Vice Presidents: The Vice Presidents shall assist the President and act on behalf of the President in case of absence, taking over the duties in order of seniority.
    3. Auditors: The Auditors shall have the following duties:
    1) To determine the legality of the Association's budget execution and audit all related tasks.
    2) If the Auditors discover any illegal or undue matters as a result of auditing the Association's affairs and financial status, they shall promptly report this to the competent authority.
    3) If an Association Director engages in activities beyond the scope of the Association's purpose, or otherwise violates the law concerning the establishment and operation of non-profit corporations, or orders, rules, or the Association's Articles of Incorporation, thereby causing the Association significant harm, the Auditors may petition the court to suspend the performance of duty of the corresponding Director.
    4) To attend the Board of Directors meeting, present opinions on the agenda, and sign and seal the minutes.
    5) The Auditors must submit the audit report on the settlement of accounts at every Regular General Meeting.
    6) The Auditors may conduct ad hoc audits and Regular Audits (twice a year).
    7) The Auditors may convene a General Meeting in the event of a critical and urgent matter related to the Association, and the method shall follow Article 13 and Article 14.
    4. Directors: The Directors shall have the following duties:
    1) To attend the Board of Directors meetings.
    2) The Association's Directors shall participate and express their views on members' requests and the overall operation of the Tourism Association through the Board of Directors, and actively cooperate in the implementation.

    Article 22 (Loss of Officer Qualification)

    An officer of the Association shall lose their qualification if they fall under any of the following sub-clauses:

    1. Failure to attend the Board of Directors meeting three or more consecutive times without justification.
    2. Failure to pay the annual fee and special fee stipulated in the Articles of Incorporation two or more times.
    3. When a petition is filed with the court by the Auditor pursuant to Article 21, Clause 3, Sub-clause 3).
    4. When a sentence of imprisonment or a heavier penalty is finalized by the court due to a criminal act.

    Article 23 (Advisory Committee)

    An Advisory Committee may be established for the smooth operation of the Association and harmony with the local community. (However, its composition and duties shall be determined by separate enforcement rules.)

    Article 24 (Secretariat)

    The President may establish the following paid, full-time secretariat for the smooth administrative handling of the Association. However, the appointment and dismissal of paid staff must be approved by the Board of Directors upon the President's recommendation.

    1. Secretary General: 1 person
    2. Chief of Administration: 1 person
    3. Staff members: A few people

    Article 25 (Duties of the Secretariat)

    The Secretariat shall execute the Association's tasks and overall operations under the direction of the President and be responsible for the management of the Association's overall operations.

    Article 26 (Secretariat Salaries)

    The salaries of the secretariat staff shall be determined by a resolution of the Board of Directors and shall be governed by separate salary regulations.

    Chapter5 - Accounting and Finance

    Article 27 (Fiscal Year)

    The fiscal year of the Association shall be from January 1st to December 31st of the same year.

    Article 28 (Projects)

    The Association may implement the following projects to achieve the purpose stated in Article 2:

    1. Policy development for tourism promotion.
    2. Events and promotions to attract tourists.
    3. Purpose-driven projects for the prosperity of Boryeong City.
    4. Purpose-driven projects for the preservation of the natural environment of Boryeong City.
    5. Other various projects that align with the Association's founding purpose and projects commissioned by the General Meeting.

    Article 29 (Membership Fees)

    The Association's membership fees shall be determined by separate enforcement rules.

    Article 30 (Finance)

    The Association's finance shall consist of the following income:

    1. Member fees (Annual fee: 50,000 KRW) and Initiation fees (150,000 KRW).
    2. Special Member fees and Initiation fees.
    3. Donations, contributions, and sponsorships.
    4. Business profits.
    5. Other income.

    Article 31 (Budget)

    Based on the income stipulated in Article 30 of the Articles of Incorporation, the next year's budget plan must be prepared within 2 months after the end of the fiscal year, deliberated by the Board of Directors, and reported to the General Meeting.
    However, if the Association is dissolved by a resolution of the General Meeting, all regulations concerning the disposal of assets shall be handled by a resolution of the Board of Directors.

    Chapter6 - Supplementary Provisions

    Article 32 (Exceptions)

    Matters not stipulated in these Articles of Incorporation shall be governed by the Association's Enforcement Rules and separate regulations, and other matters shall follow common social practice.

    Article 33 (Enforcement Rules)

    The Enforcement Rules and regulations stipulated in the Association's Articles of Incorporation shall be enacted and revised by a resolution of the Board of Directors.

    Article 34 (Effective Date)

    These Articles of Incorporation shall be effective from July 1, 1963.
    These Articles of Incorporation shall be amended and enforced from April 1, 1975.
    These Articles of Incorporation shall be amended and enforced from February 20, 1982.
    These Articles of Incorporation shall be amended and enforced from February 1, 1992.
    These Articles of Incorporation shall be amended and enforced from April 7, 2000.
    These Articles of Incorporation shall be amended and enforced from February 13, 2003.
    These Articles of Incorporation shall be amended and enforced from February 24, 2010.
